1. Acceptance of the terms
By creating an account, subscribing, being added as an authorized user, or accessing LedgerPH, you agree to these Terms of Service and the Privacy Policy. If you use LedgerPH for a company or organization, you confirm that you are authorized to accept these terms or use the service on its behalf.
A person who does not agree with these terms must not access or use LedgerPH.
2. The LedgerPH service
LedgerPH is a Philippine-oriented business management system that may provide payroll, attendance, employee, accounting, bookkeeping, sales, billing, purchasing, inventory, customer, document, mobile, reporting, and compliance-related functions.
Available modules, limits, features, storage, companies, branches, users, support, and integrations depend on the selected plan and current service offering.
3. Account registration and security
- Account information must be accurate, complete, and kept current.
- Credentials must be kept confidential and must not be shared with unauthorized persons.
- Each user should use their own account where individual accountability is required.
- The subscriber is responsible for adding, assigning, reviewing, disabling, and removing its users.
- Suspected unauthorized access or account compromise must be reported promptly.
Activities performed through an account may be treated as authorized until LedgerPH is notified of a credible security issue.
4. Company, branch, role, and permission access
Users may be assigned to one or more subscriber companies. Information displayed to a user must be limited to the currently selected company and the modules, branches, roles, and permissions assigned to that user.
Subscribers must review user access regularly and must not intentionally bypass, misuse, or weaken company-level or role-based restrictions.
5. Subscriber data and ownership
As between LedgerPH and the subscriber, the subscriber retains ownership of the business data it lawfully enters, imports, uploads, or generates through the service, subject to the rights of individual data subjects and applicable law.
The subscriber grants LedgerPH the limited right to host, process, transmit, back up, display, and otherwise use subscriber data only as reasonably necessary to provide, secure, support, and improve the subscribed service and to comply with legal obligations.
6. Subscriber responsibilities
The subscriber is responsible for:
- Ensuring it has authority and a lawful basis to collect and process all information placed in LedgerPH.
- Obtaining required notices, consents, employee acknowledgments, or permissions.
- Checking the accuracy and completeness of employee, payroll, accounting, tax, customer, supplier, inventory, and other records.
- Reviewing computations, reports, exports, filings, payslips, remittances, and journal entries before approval, release, payment, or submission.
- Configuring company policies, shifts, rates, tax settings, accounts, permissions, and government information correctly.
- Maintaining original source documents, statutory records, approvals, and independent backups required by the subscriber's policies or law.
- Complying with employment, tax, accounting, privacy, consumer, corporate, and other applicable legal obligations.
7. Acceptable use
You must not use LedgerPH to:
- Violate any law, court order, contractual duty, or the rights of another person.
- Upload unlawful, fraudulent, malicious, misleading, infringing, or unauthorized content.
- Access another subscriber's company, data, account, or system without authorization.
- Probe, attack, disrupt, overload, bypass, reverse engineer, or interfere with the security or operation of the service.
- Introduce malware, destructive code, automated scraping, or abusive traffic.
- Misrepresent records, falsify attendance, payroll, accounting, tax, or transaction information.
- Resell, sublicense, copy, or commercially exploit LedgerPH except under a separate written authorization.
8. Subscriptions, fees, and payment
Subscription fees, billing intervals, trials, plan limits, implementation fees, support scope, taxes, and payment terms are stated on the pricing page, order, proposal, invoice, or separate agreement applicable to the subscriber.
- Fees are due on the stated due date and are generally non-refundable once the service period has begun, except when required by law or expressly agreed in writing.
- A free trial may have limited features, users, companies, records, storage, or duration.
- Plan upgrades may take effect immediately or on the next billing cycle, depending on the order terms.
- Downgrades may result in lower limits or loss of access to certain modules after the effective date.
- Unpaid accounts may be restricted, suspended, or terminated after reasonable notice.
9. Changes, maintenance, and availability
LedgerPH may add, modify, improve, replace, suspend, or discontinue features to maintain security, comply with law, improve the service, correct errors, or respond to technical and operational requirements.
Planned maintenance may be announced when practicable. Emergency maintenance, provider outages, internet failures, disasters, attacks, and other events may occur without advance notice. Continuous and error-free availability is not guaranteed.
10. Third-party services and government systems
LedgerPH may integrate with or provide links, files, data, or workflows relating to banks, payment providers, email services, hosting providers, biometric devices, government agencies, or other third parties.
Third-party services are governed by their own terms, availability, formats, security, schedules, and requirements. LedgerPH does not control government portals, official filing acceptance, payment posting, agency processing, device performance, or changes made by third parties.
11. LedgerPH intellectual property
LedgerPH and its licensors retain all rights in the software, source code, design, database structure, branding, workflows, documentation, reports, templates, and other service materials, excluding subscriber data and third-party materials.
A valid subscription gives authorized users a limited, non-exclusive, non-transferable, revocable right to use the service for the subscriber's internal business operations during the active subscription period.
12. Confidentiality and privacy
Each party must use reasonable care to protect non-public confidential information received from the other and use it only for the service relationship, except where disclosure is authorized or required by law.
Personal data will be handled in accordance with the LedgerPH Privacy Policy, applicable subscription agreements, and applicable privacy law.
13. Suspension and protective action
LedgerPH may temporarily restrict or suspend access when reasonably necessary to address non-payment, security threats, suspected unauthorized access, unlawful use, material breach, excessive technical impact, or risk to other subscribers, individuals, or the service.
When practicable, LedgerPH will provide notice and an opportunity to correct the issue. Immediate action may be taken when delay could cause harm or violate law.
14. Important disclaimers
LedgerPH is a software tool. It does not replace the subscriber's management review, internal controls, original records, professional judgment, or advice from a qualified accountant, tax professional, lawyer, HR professional, payroll specialist, or government agency.
Computations and reports depend on the data, settings, policies, dates, rates, mappings, and approvals entered by users. The subscriber must independently verify outputs before relying on them for payroll release, financial reporting, tax filing, remittance, legal compliance, or business decisions.
To the extent permitted by law, the service is provided on an "as available" basis without a guarantee that every function will meet every unique business, legal, accounting, tax, or government requirement.
15. Limitation of liability
To the maximum extent permitted by applicable law, LedgerPH will not be liable for indirect, incidental, special, consequential, punitive, or exemplary losses, or for lost profits, revenue, business opportunity, goodwill, or data, arising from use of or inability to use the service.
Where liability cannot lawfully be excluded, the total aggregate liability arising from the service will be limited to the fees actually paid by the affected subscriber for the specific LedgerPH service during the three months immediately preceding the event giving rise to the claim, unless a signed agreement or applicable law requires a different limit.
16. Subscriber indemnity
To the extent permitted by law, the subscriber agrees to defend, indemnify, and hold LedgerPH harmless from third-party claims, damages, penalties, and reasonable costs resulting from the subscriber's unlawful data, lack of authority, misuse of the service, violation of these terms, or violation of another person's rights.
17. Termination and data export
Either party may end the service according to the applicable subscription, proposal, order, or written agreement. LedgerPH may terminate for material breach that is not corrected within a reasonable period, or immediately where continued service would be unlawful or create a serious security risk.
Before termination, the subscriber should export required reports and records. After termination, access may stop and subscriber data may be retained, returned, exported, deleted, anonymized, or preserved according to the Privacy Policy, backup cycles, legal requirements, and any written agreement.
18. Governing law and disputes
These terms are governed by the laws of the Republic of the Philippines. The parties should first attempt in good faith to resolve disputes through written notice and discussion.
Unless a separate signed agreement provides otherwise, any court action shall be brought before the proper courts having jurisdiction under Philippine law.
If any provision is found unenforceable, the remaining provisions will continue in effect. Failure to enforce a provision is not a waiver of the right to enforce it later.
